Software License Agreement

This agreement adds on the General Terms of Business of which any terms shall apply to the Software License Agreement herein.

 
    General
  • Cross-Drive("the Software") is copyright protected. The Software is licensed (not sold) to customers by the Company (Cross Development GbR). The customer accepts and agrees to the terms of this software license agreement by buying, installing, or using the Software. Any unauthorized tampering with the program code of the Software may be a breach of the terms of this software license agreement herein.
    Software license:
  • The Software may be installed and operated on a single (1) cpu computer system, accessed by one (1) domain or subdomain, that is owned, leased or othwise controlled by the customer. This license represents one (1) unit of the Software. The Software may not be installed on a computer system that is being leased or rent to a third party. However, the Software may be transfered to another single cpu computer system that is owned, leased or otherwise controlled by the customer provided that the prior installation of the Software may be permanently erased or deleted.
  • The customer can obtain multiple units of the Software in order to install and operate the Software on a computer system being run by more than one cpu, different computer systems, or access the Software by more than one domain.
    License grant:
  • The customer is granted a non-exclusive license to use the Software for the number of users permitted by the agreement with the company and to use the Software only as authorized under this softare license agreement. The customer will not assign, lease, rent , pledge, sublicense, transfer, or share the rights under this software license agreement except in accordance with the agreement with the company.
  • The customer acknoledges and agrees that the Software is proprietary information of the company, and is protected under German copyright law. The Customer further acknowledges and agrees that all right, title and interest in and to the Software , including all associated intellectual property rights, belong to, and shall remain the property of the company. This software license agreement does not convey to the customer an interest in or to the Software , but conveys only a limited right of use, which is revocable, in accordance with the terms of this Software License Agreement.
  • The customer may not reverse engineer, decompile, or disassemble any part of the Software without the express consent of the company. The customer may not copy the Software or permit any third party access to the Software except in accordance with the agreement with the company.
  • EXCEPT FOR THE WARRANTIES SET FORTH HEREIN, THE SOFTWARE IS LICENSED "AS IS", AND THE COMPANY DISCLAIMS ANY AND ALL OTHER WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
    No pass-through:
  • The customer agrees not to make or pass through to any end user of the Software any warranty from the company, and the customer agrees not to make any representations to end users on behalf of the company. Further, it is agreed to indemnify and hold the company harmless from any third party claims based on warranties and/or representations given and/or made in violation of this Software License Agreement. The customer agrees that any obligations that the company may have to support the Software, answer questions about the Software and solve any problems that may arise relating to the Software extend only to the customer and not to any third parties, including but not limited to end users.
